PARTICIPATION TERMS & CONDITIONS

These Participation Terms & Conditions ("Terms") constitute a legally binding agreement between NC Entertainment Hub ("NC Entertainment Hub," "we," "our," or "us") and any individual or entity ("Participant," "you," or "your") who submits an application, creates a profile, provides information, uploads content, participates in events, or otherwise engages with NC Entertainment Hub.

By checking the acceptance box, electronically submitting an application, participating in an NC Entertainment Hub opportunity, or signing these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Purpose

NC Entertainment Hub is a North Carolina-based entertainment platform dedicated to discovering, promoting, connecting, and supporting individuals and organizations within the entertainment industry. Our mission is to create opportunities for collaboration, exposure, networking, education, and professional development throughout North Carolina.

2. Eligibility

By participating, you represent and warrant that:

• You are at least eighteen (18) years of age, or you have the consent of a parent or legal guardian.

• You possess the legal authority to enter into this agreement.

• All information submitted to NC Entertainment Hub is complete, accurate, and truthful.

• You will promptly update any information that becomes inaccurate or outdated.

NC Entertainment Hub reserves the right to verify information and reject or remove any submission that is false, misleading, or incomplete.

3. Participant Representations

You represent and warrant that:

• You own or have obtained all necessary rights, permissions, and licenses for all submitted materials.

• Your submission does not infringe upon any copyright, trademark, privacy, publicity, or other legal rights of any third party.

• Your participation complies with all applicable federal, state, and local laws.

• Your submitted materials are accurate and do not intentionally misrepresent your identity, experience, or qualifications.

4. Submission of Materials

Participants may submit information and materials including, but not limited to:

• Name or stage name

• Biography

• Music

• Videos

• Photography

• Logos

• Artwork

• Social media accounts

• Performance footage

• Promotional materials

• Business information

NC Entertainment Hub may review submitted materials to determine whether they align with the mission and standards of the platform.

Submission of materials does not create any obligation for NC Entertainment Hub to publish, feature, promote, endorse, or retain those materials.

5. Intellectual Property

Participants retain all ownership rights in their original works.

Nothing contained within these Terms transfers ownership of any copyright, trademark, trade name, logo, likeness, recording, photograph, or other intellectual property to NC Entertainment Hub.

Participants remain solely responsible for protecting their intellectual property rights.

6. Promotional License

By voluntarily submitting materials, you grant NC Entertainment Hub a non-exclusive, worldwide, royalty-free, revocable license to use, reproduce, display, publish, distribute, and publicly promote your submitted materials solely for purposes related to NC Entertainment Hub, including:

• Website publication
• Social media promotion
• Marketing campaigns
• Educational content
• Community outreach
• Artist spotlights
• Event promotion
• Promotional graphics
• Printed promotional materials

This license does not authorize NC Entertainment Hub to sell your creative works or claim ownership of your intellectual property.

This license continues until you request removal of your profile or submitted materials, except that NC Entertainment Hub may retain archival copies and previously published promotional materials, including content that has already been distributed, posted, printed, or shared through NC Entertainment Hub’s website, social media platforms, marketing materials, or promotional campaigns.

7. Professional Standards

Participants are expected to conduct themselves professionally and respectfully.

NC Entertainment Hub reserves the right to reject, suspend, remove, or refuse participation to any individual or organization whose conduct or submitted materials:

• Violate applicable law;

• Infringe upon the rights of another person or entity;

• Contain fraudulent or misleading information;

• Promote hate, violence, discrimination, harassment, or illegal activity;

• Damage the reputation, integrity, or mission of NC Entertainment Hub.

8. No Guarantee of Opportunities

Participation with NC Entertainment Hub does not guarantee:

• Acceptance onto the platform;

• Promotional features;

• Artist spotlights;

• Bookings;

• Performances;

• Employment;

• Sponsorships;

• Partnerships;

• Record deals;

• Management;

• Financial compensation;

• Media coverage; or

• Any future opportunity.

All opportunities remain subject to availability, eligibility, professional judgment, and the discretion of NC Entertainment Hub or applicable third parties.

9. Third-Party Relationships

NC Entertainment Hub may introduce Participants to venues, businesses, promoters, agencies, media organizations, sponsors, event organizers, or other third parties.

NC Entertainment Hub is not a party to agreements entered into between Participants and third parties and assumes no responsibility for the actions, decisions, services, or obligations of any third party.

Participants are solely responsible for reviewing and negotiating any independent agreement they choose to enter.

10. Privacy

Information collected by NC Entertainment Hub may be used for:

• Participant communication;

• Platform administration;

• Promotional opportunities;

• Event coordination;

• Business operations;

• Marketing communications; and

• Community engagement.

NC Entertainment Hub will make reasonable efforts to safeguard personal information and will not knowingly sell personal information except where required by applicable law or with the Participant's authorization.

11. Suspension and Termination

NC Entertainment Hub reserves the right to suspend, restrict, remove, or terminate a Participant's access or participation at any time if these Terms are violated or if continued participation is determined to be inconsistent with the organization's mission, safety, integrity, or professional standards.

Termination shall not affect any rights or obligations that accrued prior to termination.

12. Disclaimer

NC Entertainment Hub provides its platform and opportunities on an "as is" and "as available" basis.

NC Entertainment Hub makes no warranties or guarantees regarding:

• Continuous platform availability;

• Business success;

• Career advancement;

• Financial gain;

• Industry recognition; or

• Specific outcomes resulting from participation.

13. Limitation of Liability

To the fullest extent permitted by law, NC Entertainment Hub and its owners, officers, employees, volunteers, contractors, representatives, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from:

• Participation in the platform;

• Use of submitted materials;

• Third-party interactions;

• Technical failures;

• Event changes or cancellations;

• Missed opportunities; or

• Business decisions made by Participants.

14. Indemnification

You agree to defend, indemnify, and hold harmless NC Entertainment Hub and its owners, officers, employees, volunteers, contractors, affiliates, and representatives from and against any claims, liabilities, damages, judgments, losses, costs, or expenses, including reasonable attorneys' fees, arising from:

• Your submitted materials;

• Your violation of these Terms;

• Your infringement of another person's rights; or

• Your unlawful or negligent conduct.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles.

Any legal action arising from or relating to these Terms shall be brought in a court of competent jurisdiction located within the State of North Carolina.

16. Severability

If any provision of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between the Participant and NC Entertainment Hub concerning participation in the platform and supersede all prior oral or written communications relating to the same subject matter.

18. Amendments

NC Entertainment Hub reserves the right to modify these Terms at any time.

Revised Terms become effective upon publication unless otherwise stated. Continued participation after the effective date of any revision constitutes acceptance of the revised Terms.

PARTICIPANT ACKNOWLEDGMENT

By signing below or electronically accepting these Terms, I acknowledge and agree that:

• I voluntarily agree to be legally bound by them.

• The information and materials I have submitted are accurate to the best of my knowledge.

• I possess the necessary rights and permissions to submit all materials provided.
